Difratech operates across all of Distributed Computing’s investment zones, including Infrastructure (hardware and software), Applications, Real Estate, and Power (Distributed Energy Systems aka DES).
Position Overview
This is a unique opportunity for a driven, highly effective lawyer to join a dynamic and rapidly growing company at the forefront of the Distributed Computing industry. The In-House Counsel will be a key member of the executive team, providing legal guidance on a wide range of matters and playing a crucial role in the company's strategic direction. This role is ideal for a senior associate or junior partner at a top law firm who is looking to make a significant impact in a fast-paced, entrepreneurial environment.
Core Responsibilities
Participate in the strategic direction of the business, providing legal and business-oriented advice to the executive team.
Evaluate the viability of potential deals, including assessing pros, cons, and risks.
Draft, review, and negotiate a wide variety of commercial agreements, including term sheets, partnership agreements, joint venture agreements, reseller agreements, sales agreements, and licensing agreements.
Respond to and manage third-party agreements.
Manage all legal aspects of the business, including corporate governance, intellectual property, and compliance.
Coordinate and manage relationships with external legal professionals as needed.

Excellent communication and interpersonal skills, with the ability to build strong relationships with internal and external stakeholders.
Qualifications
J.D. from a top-tier law school and a member in good standing of the Massachusetts bar.
5-9 years of experience at a major law firm, with a focus on corporate and transactional matters.
Extensive experience with private equity, investment deals, partnerships, IP, joint ventures, reseller deals, sales agreements, licensing, and all associated commercial legal contacts.
